Welcome to Xenospec. These Terms of Service ("Terms") govern your access to and use of the Xenospec website, products, and services (collectively, the "Services"). By accessing, browsing, or purchasing from our Services, you agree to be legally bound by these Terms.
1. Use of the Services
You agree to use the Services only for lawful purposes and in compliance with all applicable local, state, federal, and international laws and regulations. You may not attempt to disrupt, damage, interfere with, or gain unauthorized access to the Services, servers, or networks connected to the Services.
2. Products and Services
Xenospec offers physical and digital products, including but not limited to automotive designs, images, and related digital content. Product descriptions are provided as accurately as reasonably possible; however, we do not warrant that descriptions are error-free, complete, or current.
We reserve the right to modify, suspend, or discontinue any product or aspect of the Services at any time without notice.
3. Digital Products and License Grant
Unless expressly stated otherwise, all digital products are licensed, not sold. Upon purchase, you are granted a limited, non-exclusive, non-transferable, revocable license for personal, non-commercial use only.
You may not copy, reproduce, distribute, resell, sublicense, publicly display, or otherwise exploit any digital product without the prior written consent of Xenospec.
4. Digital Delivery
All digital products are delivered electronically. Xenospec is not responsible for delivery failures caused by incorrect email addresses provided by you, spam or junk mail filters, internet service provider issues, or other technical issues beyond our reasonable control.
5. Compatibility
We do not guarantee that digital products will be compatible with all devices, operating systems, software, or platforms. You are solely responsible for ensuring compatibility prior to completing your purchase.
6. Payments and Refund Policy
All prices are listed in U.S. dollars unless otherwise stated. Payments are processed through third-party payment processors.
Due to the nature of digital products, all sales are final and non-refundable except where required by applicable law.
7. Intellectual Property Rights
All content made available through the Services, including designs, images, logos, text, and branding, is the exclusive property of Xenospec or its licensors and is protected by copyright, trademark, and other intellectual property laws.
Unauthorized use of any content is strictly prohibited.
8. User Submissions
If you submit any content to Xenospec, including feedback, messages, or media, you grant Xenospec a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, display, and distribute such content for business and promotional purposes.
9. Disclaimer of Warranties
THE SERVICES AND ALL PRODUCTS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, XENOSPEC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL XENOSPEC, ITS OWNERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, OR LOSS OF DATA, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICES OR PRODUCTS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
NOTWITHSTANDING ANYTHING TO THE CONTRARY, XENOSPEC’S TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE LESSER OF (A) THE AMOUNT PAID BY YOU TO XENOSPEC DURING THE ONE (1) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100.00 USD).
CERTAIN LAWS MAY NOT ALLOW LIMITATIONS OF LIABILITY. IN SUCH CASES, THESE LIMITATIONS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
11. Indemnification
You agree to indemnify, defend, and hold harmless Xenospec from and against any claims, damages, losses, liabilities, and expenses arising from your violation of these Terms or misuse of the Services or products.
12. Term and Termination
These Terms remain in effect for as long as you access the Services or possess any licensed digital products. We may suspend or terminate your access to the Services at any time, without notice, for conduct that violates these Terms or applicable law.
All provisions which by their nature should survive termination shall survive, including intellectual property rights, disclaimers, limitations of liability, and indemnification obligations.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles.
14. Changes to These Terms
We reserve the right to modify these Terms at any time. Any changes will be effective immediately upon posting to the Services. Your continued use of the Services constitutes acceptance of the revised Terms.

1. SPONSOR
The XenoSpec Vehicle Sweepstakes (the “Sweepstakes”) is sponsored by XenoSpec (“Sponsor”), located in the State of Illinois.
This Sweepstakes is in no way sponsored, endorsed, administered by, or associated with Instagram, Meta, Facebook, or any other social media platform.

2. ELIGIBILITY
The Sweepstakes is open to legal residents of the United States and the District of Columbia who are at least eighteen (18) years of age at the time of entry.
Employees, officers, directors, contractors, affiliates, and immediate family members (spouse, parents, siblings, and children) of Sponsor, as well as individuals living in the same household, are not eligible.
The winner must be legally eligible to register and insure the vehicle in their state of residence.
Void where prohibited by law.

3. SWEEPSTAKES PERIOD
The Sweepstakes begins at 3:00 PM Central Time on February 15 and ends at 11:59 PM Central Time on March 15 (the “Sweepstakes Period”).
All entries must be received during the Sweepstakes Period to be eligible.

4. HOW TO ENTER
A. Online Entry With Purchase
Participants may receive one (1) entry for each $3 sweepstakes entry purchased at the official XenoSpec website during the Sweepstakes Period.
There is no limit to the number of entries obtained via purchase.

B. Free Alternate Method of Entry (AMOE)
To enter without purchase, hand-print your:
• Full legal name
• Complete mailing address
• Phone number
• Email address
Limit one (1) free mail-in entry per person during the Promotion Period.
On a 3” x 5” card and mail it in a stamped envelope to:

Mail-in entries must:
• Be postmarked no later than March 15
• Be received within five (5) business days following the end of the Sweepstakes Period
• Be mailed individually (one entry per envelope)
Each properly submitted mail-in entry will receive one (1) entry into the Sweepstakes.
Photocopied, mechanically reproduced, automated, or bulk entries are void.

5. PRIZE
One (1) Grand Prize:
1995 Toyota JZX90 Mark II
Approximate Retail Value (“ARV”): $20,000
The vehicle will be awarded “as-is” with no warranties, express or implied, except as required by law.
Winner is solely responsible for:
• Federal, state, and local taxes
• Title, registration, and licensing fees
• Insurance
• Transportation or shipping costs
Sponsor reserves the right to substitute a prize of equal or greater value if necessary.

6. WINNER SELECTION AND ODDS
The winner will be selected in a random drawing conducted on or about March 15, 2026, but no later than five (5) business days following the conclusion of the Promotion Period.
The drawing will be conducted using a random number generator or comparable randomized selection method to ensure fairness and impartiality. The selection process will not be manipulated, altered, or influenced in any manner.
The drawing is scheduled to be broadcast live via the official XenoSpec Instagram and TikTok accounts for transparency purposes. A recording of the drawing may also be posted on XenoSpec’s official social media platforms.
In the event of technical difficulties, entry verification delays, or unforeseen circumstances, Sponsor reserves the right to conduct the drawing within the stated five (5) business day window while maintaining the integrity of the selection process.
All decisions of Sponsor are final and binding.
Odds of winning depend on the total number of eligible entries received.

7. WINNER NOTIFICATION AND REQUIREMENTS
The potential winner will be contacted via phone and/or email.
The winner must respond within forty-eight (48) hours of notification. Failure to respond may result in disqualification and selection of an alternate winner.
The winner may be required to complete and return:
• An Affidavit of Eligibility
• A Liability Release
• A Publicity Release (where permitted by law)
Failure to complete required documents within the specified timeframe may result in forfeiture of the prize.

8. TAXES
The winner is solely responsible for all applicable federal, state, and local taxes.
Sponsor will issue an IRS Form 1099 for $20,000 as required by law.

9. PUBLICITY RELEASE
Except where prohibited by law, acceptance of the prize constitutes permission for Sponsor to use the winner’s name, likeness, photograph, voice, city, and state for promotional purposes without further compensation.

10. GENERAL CONDITIONS
Sponsor reserves the right to cancel, suspend, or modify the Sweepstakes if fraud, technical failures, or any other factor impairs the integrity or proper functioning of the Sweepstakes.
Sponsor reserves the right to disqualify any individual who tampers with the entry process or violates these Official Rules.

11. LIMITATION OF LIABILITY
By entering, participants agree to release and hold harmless Sponsor and its affiliates from any claim or cause of action arising out of participation in the Sweepstakes or receipt or use of the prize.
Sponsor is not responsible for:
• Lost, late, incomplete, or misdirected entries
• Technical malfunctions
• Unauthorized human intervention
• Errors in administration of the Sweepstakes

12. DISPUTES
This Sweepstakes is governed by the laws of the State of Illinois, without regard to conflict of law principles.
Any disputes shall be resolved individually and exclusively in a state or federal court located in Illinois.

13. WINNER LIST
The potential winner of the 1995 Toyota JZX90 Mark II Sweepstakes (the “Promotion”) sponsored by XenoSpec will be selected on or about March 15, 2026, following the conclusion of the Promotion Period (February 15, 2026 through March 15, 2026), subject to verification of eligibility and compliance with the Official Rules.
The verified winner will be announced within five (5) business days of confirmation via the official XenoSpec Instagram account and/or the official XenoSpec website.
